• This limited period promotional Offer (“Offer”) is provided to you by HDFC Bank Limited (“HDFC”) and Amazon Pay (India) Private Limited (“APIPL”) and is made available to you by Amazon Seller Services Private Limited (“ASSPL”) on the business to business (B2B) section of the marketplace on the website www.ama...in and the mobile site and mobile application thereof (“Amazon Business”).

• All residents of India holding either of the following cards can avail the Offer: (a) HDFC Bank Business Money Back Card, (b) HDFC Bank Business Regalia First Card or © HDFC Bank Business Regalia Card (each of these, a “Card” and collectively, “Cards”, and the holder of a Card, the “Cardholder”). The Card held by a Cardholder must be valid and current.

• These terms and conditions (“Offer Terms”) are in addition to the Amazon Business Conditions of Use & Sale and the Privacy Notice to which you agree by using Amazon Business. To the extent these Conditions of Use & Sale and Privacy Notice are inconsistent with these Offer Terms; these Offer Terms will prevail with respect to the Offer only.

• You may only avail this Offer if you are a registered and verified business customer on Amazon Business and have a billing address in India.

• This Offer is valid from February 01, 2019 and continues till April 30, 2019 (both days inclusive) (“Offer Period”), unless extended or revoked by HDFC or APIPL, in their sole discretion.

• During the Offer Period, any Cardholder who makes a purchase on Amazon Business (except for the Ineligible Products) for a minimum amount of INR 150 (inclusive of taxes and shipping charges) using a Card (“Eligible Transaction”) will be entitled to receive 10X reward points on the relevant Card (such rewards points, “10X Reward Points”). For the avoidance of doubt, ‘10X Reward Points’ means ten times the reward points that the Cardholder would have earned on the Eligible Transaction in the absence of this Offer.

• Bank will provide Offer Points to the Cardholder’s Card account within 90 days from the date when the Eligible Transaction was undertaken by the said Cardholder.

• The Cardholder will not be eligible for 10X Reward Points on purchase of the following products under this Offer: ‘Gift Cards (both Amazon gift cards and other non Amazon gift cards)’, ‘bank cards (such as RBL and ticket compliments gift cards)’, ‘Amazon Prime membership’, ‘Digital accessories’, ‘Digital products’, ‘Amazon devices’, ‘Kindle e-books and Kindle Unlimited subscription’, ‘tickets (travel, movie and event), ’hotel bookings’, ‘mobile recharges’, ‘Loads in Amazon Pay Balance’, ‘postpaid bill payments and utility payments (Electricity, Landline, Broadband, Gas, DTH)’ (collectively, “Ineligible Products").

• In the event a Cardholder does not complete the Eligible Transaction or fails to comply with any the conditions of these Offer Terms, such Cardholder will not be eligible to avail the Offer.

• The Cardholder will not be eligible to avail this Offer, if the Cardholder chooses to pay for the Eligible Transaction order using ‘Pay on Delivery’ (PoD) payment option. Also, the Offer is not valid for purchases on Amazon Business, if the payment is made by a card other than a Card (identified above).

• The Offer is not available on EMI transactions.

• 10X Reward Points will be credited to the Cardholder’s Card account in case the Card account is active and non-delinquent. The Eligible Transactions that are returned, disputed, unauthorized or fraudulent, will not be considered for this Offer.
• The maximum reward points under the 10X Reward Points program that can be earned under this Offer per statement cycle by a Cardholder for all the Eligible Transactions on Amazon Business is as below:

• Under no circumstances, will the 10X Reward Points benefit (under this Offer) be settled in cash in lieu thereof by HDFC, APIPL or ASSPL.

• HDFC, APIPL and ASSPL shall not be liable for any loss or damage whatsoever or for any personal injury that may be suffered, by a Cardholder, directly or indirectly, by use or non-use of products/services availed under this Offer.

• HDFC reserves the right to debit 10X Reward Points (credited to the Cardholder’s Card account) at any time in case of cancellation of the Eligible Transaction (for any reason whatsoever, including cancellation by seller or by ASSPL) for which 10X Reward Points were credited earlier. In case sufficient reward points are not available, corresponding Rupee value will be charged to the Card and will be payable by the Cardholder as per the credit card agreement.

• The products purchased under this Offer are the sole responsibility of the sellers. Neither HDFC nor ASSPL / APIPL (nor any of their affiliates) endorses any of the products or brands being offered on Amazon Business and will not accept any liability pertaining to quality, merchantability, fitness, delivery or after sales service of the products.

• The benefits and/or 10X Reward Points under this Offer are the sole responsibility of HDFC and neither APIPL nor ASSPL (nor any of their affiliates) shall be held liable for any default of HDFC in compliance with such obligations of HDFC under this Offer.

• HDFC and APIPL reserve the right, at any time, without prior notice and without assigning any reason whatsoever, to add/alter/modify/change or vary all of these Offer Terms and conditions or to replace, wholly or in part, this Offer by another offer, whether or not similar to this Offer.

• All queries with regard to the 10XReward Points are required to be raised to or escalated with HDFC directly, and neither APIPL nor ASSPL shall be responsible and liable for any such claim relating to this Offer raised by any Cardholder. All queries with regards to the 10X Reward Points will be entertained by HDFC only for a period of 60 days from: date when 10X Reward Points are credited to Cardholder’s Card account, or the expiry of this Offer, whichever is later.

• All disputes between the Cardholders and HDFC will be resolved inter se and APIPL or ASSPL will not (nor will be liable or obliged to) mediate or resolve any dispute or disagreement between the Cardholders and HDFC.

• These Offer Terms are governed by the laws of India and the courts at New Delhi will have exclusive jurisdiction over any matter or dispute in relation to this Offer.

• Nothing herein amounts to a commitment by HDFC or APIPL to conduct further, similar or other offers.

• This Offer is by way of a special offer for Cardholders of the Card mentioned above. These Offer Terms are in addition to and not in derogation of the terms contained in the respective Card’s terms and conditions and/or card member agreement. Nothing contained herein shall prejudice or affect the applicable terms and conditions of the respective Card.

• Any person availing this Offer shall be deemed to have accepted these terms and conditions. By availing this Offer, you acknowledge that you satisfy all eligibility requirements and conditions of the Offer.

• Cardholders are not bound in any way to participate in this Offer. Any participation is voluntary and the Offer is being made purely on a ‘best effort’ basis.
