TERMS AND CONDITIONS

Upon your purchase of the Xiaomi Mi Band 3 from www....om, the related mobile application and mobile website (collectively “mi.com”), you will be entitled to a free consultation (“Offer”) on the HealthifyMe mobile application (“HealthifyMe App”). The HealthifyMe App is India’s largest and most loved health/fitness App.

Your availing of the Offer and usage of the HealthifyMe App is subject to the following terms and conditions and by availing of the Offer you hereby signify that you have read, understood and agree to be bound by these Terms and Conditions (“T&C”) and any other applicable laws. Please read the T&C carefully and if any of the terms are not acceptable to you, please do not proceed to avail of the Offer or download/use the HealthifyMe App.

For the purposes of these T&C: (i) “you” and “your” shall mean an individual who has purchased the Mi Band 3 from mi. com and is availing of the Offer through the HealthifyMe App; and (ii) “HealthifyMe” shall mean HealthifyMe Wellness Private Limited., a company incorporated under the Companies Act, 2013 and having its registered office at 3rd Floor, 621B, 12th Main Road, HAL 2nd Stage, Indiranagar, Bengaluru – 560 038, Karnataka.

ELIGIBILITY
1.1. You represent and warrant that you are competent and eligible to enter into a legally binding agreement and be bound by these T&C. You shall not avail of the Offer if you are not competent to contract under applicable laws, rules and regulations.

GENERAL TERMS & CONDITIONS
2.1. Please note that the free consultation available to you on the HealthifyMe App:

(i) Can only be availed by the individual in whose name the Xiaomi Mi Band 3 was purchased.
(ii) The purchase of Mi Band 3 from mi.com shall be governed by the terms of use and privacy policy of Mi.com;
(iii) Can only be availed of by individuals over the age of 18. If you are under the age of 18, you may only avail of the Offer if your legal guardian has consented to the same and you avail of the Offer under their supervision;
(iv) Can only be availed of in the territory of India;
(v) Can only be availed of through the HealthifyMe App which can be downloaded on to any compatible device and is available on the App Store and the Google Play Store;
(vi) Is only available to the first 10,000 (ten thousand) Xiaomi MiBand 3 users who redeem the same – upon the 10,000th individual availing of the Offer, it shall automatically expire;
(vii) The Offer of free consultation must be availed by 30th November 2018;
(viii) Can be redeemed by registering on Healthifyme app and using the unique serial number on the Xiaomi MiBand 3 packaging which is located on the back of the box. It is hereby clarified that your unique serial number is only valid for 1 (one) free consultation;
(ix) Is solely for a free consultation and cannot be exchanged for any other service available under the HealthifyMe App;
(x) Cannot be availed if your purchase of the Mi Band 3 from mi.com is cancelled or returned;
(xi) Cannot be redeemed for cash or any cash equivalent; and
(xii) Can only be availed as per the available time slots displayed on the HealthifyMe App. In the event you are unavailable at the pre-fixed time, the Offer shall automatically expire.

HEALTHIFYME APP TERMS & CONDITIONS
3.1. The Offer is solely and exclusively available through the HealthifyMe App and you shall not be entitled to avail of it in any other manner whatsoever.

3.2. You acknowledge that your use of the HealthifyMe App is subject to your acceptance of the Terms and Conditions set out here. If any of these Terms and Conditions are not acceptable to you, please do not register on the HealthifyMe App or avail of the Offer. Please note that if you do not abide by your obligations thereunder as a user of the HealthifyMe App, HealthifyMe reserves the right to withdraw the Offer and avail of any remedies set out in such Terms and Conditions or under applicable laws.

3.3. Further, you also acknowledge and accept that the free consultation you avail of shall be in accordance with the terms and conditions of such consultation as set out on the HealthifyMe App.

MISCELLANEOUS
4.1. HealthifyMe has created the HealthifyMe App to provide users with their services which includes, guidance on how to improve their fitness and how to integrate fitness into their individual lifestyles. While the workout and nutrition recommendations (including those received pursuant to the Offer) consider several factors specific to each individual, including anthropometric data, fitness goals, and lifestyle factors, HealthifyMe is not a medical organization, and our recommended workout plans, and specific exercises should not be misconstrued as medical advice, prescriptions, or diagnoses.

4.2. If any provision of these T&C is held to be illegal, invalid or unenforceable under any present or future applicable laws: (i) such provision will be replaced with another, which is not prohibited or unenforceable and has, as far as possible, the same legal and commercial effect as that which it replaces; and (ii) the remaining provisions of the T&C will remain in full force and effect and will not be affected by the illegal, invalid, or unenforceable provision or by its severance here from.

4.3. You shall not assign or transfer any rights, obligations, or privileges that you have under these T&C , without the prior written consent of HealthifyMe. Subject to the foregoing, these T&C will be binding on the successors and permitted assignees of HealthifyMe. Any assignment or transfer in violation of this clause will be deemed null and void.

4.4. These T&C shall apply until you avail of the Offer upon completion of which you shall continue to be bound by the Terms and Conditions on the HealthifyMe App so long as you use the HealthifyMe App.

4.5. These T&C are governed and construed in accordance with Indian law. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Bangalore, Karnataka, India, in the event of any disputes arising out of or in relation to these T&C.
